1. Agreement to Terms

By accessing or using Melodemia ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including business owners, administrators, staff members, and any individuals granted access to a Melodemia account.

2. Description of Service

Melodemia is a software-as-a-service (SaaS) platform designed for music schools and academies. The Service provides tools for:

  • Student and staff management
  • Scheduling and calendar management
  • Payment processing and invoicing
  • Communication tools
  • Reporting and analytics
  • Video hosting and content delivery

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

3. Account Terms

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

  • You must be at least 18 years old to create an account
  • You must provide a valid email address
  • You are responsible for safeguarding your password
  • You must notify us immediately of any unauthorized access
  • One person or legal entity may not maintain more than one free account

4. Payment Terms

4.1 Free Trial

New accounts receive a 7-day free trial. Payment information is required at signup, but you will not be charged until your trial period ends. You may cancel at any time during the trial without being charged.

4.2 Subscription Billing

Subscriptions are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days notice. Changes to pricing will not affect the current billing period.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can cancel your subscription at any time from your account settings.

4.4 Refunds

We do not provide refunds for partial months of service. If you cancel your subscription, you will retain access until the end of your current billing period.

5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time. Upon cancellation, your account will remain active until the end of the current billing period. After that, your account will be downgraded and you will lose access to premium features.

5.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to our business interests.

5.3 Data Retention

Upon account termination, we will retain your data for 30 days, during which you may request an export. After 30 days, your data may be permanently deleted.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on the rights of others
  • Transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service
  • Use the Service to compete with us
  • Resell or redistribute the Service without authorization

7. Geographic Restrictions and Exclusivity

7.1 Restricted Regions

Due to existing exclusivity agreements with partner organisations, the Service is not available to music schools operating primarily in certain geographic regions. These restricted regions are clearly indicated during the signup process. As of the date of these Terms, Scotland is a restricted region.

7.2 Accurate Location Information

You agree to provide accurate and truthful information about your music school's location during signup and throughout your use of the Service. This includes your country, region, and primary place of business.

7.3 Violation of Geographic Restrictions

If we discover that you have provided false or misleading location information to circumvent our geographic restrictions, or that your music school operates primarily in a restricted region despite indicating otherwise, we reserve the right to:

  • Terminate your account immediately without prior notice
  • Suspend access to the Service pending investigation
  • Retain any fees already paid as compensation for breach of contract

No refunds will be issued for accounts terminated due to violation of geographic restrictions, as such termination constitutes a material breach of these Terms by you. This includes any prepaid subscription fees for unused portions of your billing period.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Melodemia and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload to the Service. By uploading content, you grant us a license to store, display, and transmit that content as necessary to provide the Service.

9. Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

As a data processor for your music school, we will process personal data only in accordance with your instructions and applicable data protection laws, including GDPR where applicable.

10. Third-Party Services

The Service integrates with third-party services including payment processors (Stripe, GoCardless), email providers, and others. Your use of these services is subject to their respective terms and conditions.

We are not responsible for the availability, accuracy, or content of third-party services, or for any loss or damage caused by your use of them.

11. Limitation of Liability

To the maximum extent permitted by law, Melodemia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy or completeness of any information provided through the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
